The Broadridge Proxy Interface sends electronic information about stockholders
to Broadridge for corporate action fulfillment. Broadridge is the new name for a
group formerly operating as ADP.
This is a 2-way interface. Every day, Broadridge prepares a list of CUSIPs for
securities that need a mailing of some sort. Examples include: |

- Annual and quarterly reports to stockholders
- Tax reports
- Announcements of annual and special meetings
- Reorganization information
- Consent mailings

The interface scans each CUSIP in the daily request file to find accounts in
TRUSTprocessor who own the asset. It creates an export file with the detailed reply
requested.
